Elon Musk says xAI acquired X in an all-stock deal valuing xAI at $80B and X at $33B; xAI was reportedly in talks to raise funds in February at a $75B valuation

Elon Musk said on Friday that his startup xAI has merged with X, his social network, in an all-stock transaction that values …

With his acquisition of X by xAI yesterday, Elon established that his Twitter purchase in 2022 resulted in $11B in lost value.  It also gave us another reminder that Elon's niche on AI is training his models on all that deeply informative X content. www.theverge.com/news/638933/ …

I have so many questions about this.  The main one being: wasn't xAI, which is now apparently worth $80bn, originally part of X?  So he spun it out to himself and now is using it to buy back the remaining business, mostly from himself.  [image]
  • @malwaretech.com Marcus Hutchins on bluesky
So he's essentially bought his own company from himself using imaginary value in his other company, and because X has a valuation of $45bn based also on vibes, the vibes get combined, making xAI now worth $80bn in total valuation.  Despite Neither X nor xAI being objectively wort…

This is actually hilarious.  When you run a private company, its valuation is based on how much investors think it's worth (so basically just vibes).  In an all-stock purchase no money changes hands, you just give investors in the old company stock in the new one 1/2  —  www.reut…

Musk and his bankers have been trumpeting a turnaround at X since at least the start of the year.  There may be reasons for that, namely Musk's proximity to Trump.  But this “deal” signals that the company was nowhere near its $44b valuation. www.ft.com/content/d461...

with the new Musk merger he's now on the clock to get the latest X an IPO.  Tesla's in trouble and he's going to need a replacement explosively overvalued stock as his primary wealth. but that clunker coreweave IPO suggests it will be awhile.

We're investors in xAI and X, and this combo makes a lot of sense. Grok brings the brains. X brings the distribution (600M MAUs) and a unique data asset. OpenAI has the brains and brand distribution (e.g., Apple), but lacks X's proprietary data. Long-term edge: xAI.

I still believe Elon Musk when he said “I will make sure Tesla shareholders benefit from Twitter long-term.” As of now, xAI acquiring 𝕏 benefits $TSLA investors bc the risk is drastically reduced of Elon having to sell Tesla stock to cover 𝕏's operation and $12B debt. IMO, next […

xAI valuation even higher than Anthropic xAI has received a rating of $80b. Don't forget: xAI is only a few years old! It's crazy how from virtually nothing an AI company has been built that can compete with the other established AI companies in terms of valuation - like

  • @fredericlambert Fred Lambert on x
Well, this explains how X's bank valuation went so quickly from ~$12B in 2024 back to ~$44B last month.  Musk had made the xAI offer, increasing the valuation.  Between SolarCity, his Tesla CEO compensation plan, and this, Musk is a master of negotiating with himself.

  • @sawyermerritt Sawyer Merritt on x
This deal is good news for $TSLA investors because it lowers the risk that Elon potentially might have had to sell Tesla stock at any point in the future to cover X's $12 billion debt.
  • @devahaz Deva Hazarika on x
So does that mean X shareholders now own 33/113 = 29% of the combined entity? But before the merger they owned 100% of X which owned 25% of xAI?

My take on xAI acquiring X — why & why now: 1. Mature xAI's Tech Stack First xAI wasn't ready in 2023. It needed time to: → Build Grok as a credible ChatGPT rival → Assemble top-tier talent from OpenAI, DeepMind, Tesla Waiting let xAI become valuable before merging. 2.

How was xAI's $80 billion valuation and X's $33 billion valuation determined? The numbers were reached following negotiations between the two Musk arms—which both had the same advisers. [image]

The xAI subsidiary is now valued at $80 billion and the equity value of X is $33 billion, not including the $12B debt. Because X owned part of Xai already, 80 + 33 is not the correct valuation number for the parent company, but it's still above $100b.
