Gemini says the SEC closed its investigation into the crypto exchange and won't pursue an enforcement action, after Gemini received a Wells notice in May 2024

Olga Kharif / Bloomberg :

Context & Ripple Effects

Gemini's announcement followed a May 2024 Wells notice, but it did not erase the exchange's other regulatory exposure. The company had already agreed to return more than $1B to customers and pay a $37M New York fine over Gemini Earn in the state resolution tied to Gemini Earn.

The significance is narrower than a blanket regulatory clearance: the later coverage distinguishes this closed SEC investigation from the SEC's separate Gemini Earn registration case, which was ultimately settled by the agency.

First-order effects

  • Gemini avoids an SEC enforcement action from the investigation referenced in its announcement, removing the immediate threat signaled by the Wells notice.
  • The SEC's decision gives Gemini a concrete compliance and reputational reprieve, while leaving matters tied to Gemini Earn and other regulators on separate tracks.

Second-order effects

  • Other crypto platforms facing SEC scrutiny gain another example that a Wells notice need not result in charges, strengthening incentives to contest or negotiate investigations rather than assume an enforcement case is inevitable.
  • The split between this outcome and Gemini's prior Earn-related resolution keeps compliance costs concentrated around specific products and conduct, rather than disappearing for exchanges generally.

Third-order effects

  • If similar closures continue, US crypto oversight may become more fragmented: federal agencies and state regulators could reach materially different outcomes over the same company's activities.
  • The episode reinforces the crypto legitimacy gap, in which firms can gain relief from one enforcement threat while still needing to rebuild trust after customer-protection disputes.

The trend: This is one data point in a shift from broad, exchange-level enforcement pressure toward more contested and product-specific crypto regulatory cases.

The SEC has dropped its investigation against us. This comes 699 days after the start of their investigation, and 277 days after they sent us a Wells Notice. Gemini has always stood for thoughtful regulation. And we will continue to do so. Amazing awaits!

@cameron ... Congrats on the long overdue result, and I'm sorry you had to endure this. Thank you for your thoughtful post

It's hard to overstate how wild the last few years in crypto has been under an administrative regime that chose a destructive path of enforcement through litigation. That regime chose stagnation, convention and entropy over the admittedly hard work of providing regularity clarity

Everything @cameron says is true, and more so. The @SECgov approached this investigation with a mission: shut down the crypto industry. It was only because companies like @Gemini and others were willing to fight back and endure the pain that we made it to this point. Smaller
