Binance.US plans to acquire Voyager Digital's assets in a deal worth $1.022B, beating other bids and subject to bankruptcy court approval at a January 5 hearing

Claire Boston / Bloomberg :

Bloomberg Claire Boston

Context & Ripple Effects

The proposed transaction follows Binance's earlier roughly $50M bid for Voyager's assets, which had been competing with an FTX offer. It therefore marks a sharp escalation in the effort to find a buyer through Voyager's bankruptcy process.

The later record shows the purchase became a regulatory test as well as a bankruptcy sale: a judge eventually approved Voyager's sale plan over federal and state objections, but Binance.US later terminated the agreement.

First-order effects

  • Binance.US becomes Voyager's proposed asset buyer, while Voyager's assets remain subject to bankruptcy-court approval at the scheduled January 5 hearing.
  • The deal gives the bankruptcy process a defined proposed outcome, but no transfer can close unless the court clears it.

Second-order effects

  • Federal and state regulators gain a formal opportunity to challenge the transaction; later filings show the SEC and NYDFS opposed the plan over alleged unregistered securities tied to Voyager's VGX token.
  • Binance.US must carry the legal and execution risk of a court-supervised acquisition rather than simply outbidding other prospective buyers.

Third-order effects

  • The sequence suggests that crypto-platform bankruptcies can turn buyer selection into a regulatory gatekeeping process, where a winning bid does not by itself secure the assets.
  • If that pattern persists, distressed crypto assets will be worth less to buyers whose ability to close is constrained by securities and state-regulatory objections.

The trend: Crypto bankruptcy sales are increasingly shaped by the overlap between court-led asset transfers and regulatory scrutiny of the platforms and tokens being acquired.

It's a $20m for Chapter 11 lawyers deal NOT $1bn for creditors. It's what I call “Chapter 7 in-kind” as $1bn goes to buying & giving back haircut coins, rest to lawyers “Crypto firm #Voyager to sell assets to #Binance in $1 bln deal” https://www.reuters.com/...

i legit was not that worried about Binance until they said the wanted to now acquire Voyager makes no sense to me unless they need to keep it afloat for some reason they had a chance before and hard passed and let SBF take it why interested now and why spend that money?

Breaking: Voyager announced today that it selected Binance US as the highest and best bid for its assets and valued at approximately $1.022 billion. Binance US will make a $10 million good faith deposit and will reimburse Voyager for certain expenses up to a maximum of $15m.

Wow. Bearish on “Binance insolvency FUD”. And if Celsius creditors had played our cards better, this could have been us. Instead we spent $50 million on lawyer fees. https://twitter.com/...

You do this for the same reason FTX ‘bought’ BlockFi and Voyager ... it's cheap (no other bids) and there's a loan on the books you don't want called. https://twitter.com/...

So many questions around this deal... - How exactly is the $1 billion price going to be paid for? - How is Binance US going to fund the acquisition? - Has Binance US negotiated a right to pull off the deal? - Why would Binance want/need to buy bankrupt Voyager? https://twitter.co…

This is not advisable! Voyager only just escaped being caught up in FTX's bankruptcy. https://twitter.com/...

yeah based on my one data point this year, acquiring Voyager is the first step towards exchange insolvency https://twitter.com/...

BinanceUS is acquiring Voyager. Voyager managed to secure a shittier deal than even from FTX, from another company subjected to massive FUD. Asset buyout +20m. FTX's bid was +100m. Binance had already bid +50m in original auction. Disappointing. https://www.prnewswire.com/...

Binance has just announced Voyager takeover and the $VGX token is pumping hard as a result It is worth saying that most of the price discovery on such events have happened during the speculation phase, marked by a sell-the-news once they are confirmed https://twitter.com/...
