The NFT inquiry extends an enforcement path that began with the SEC's finding that DAO token sales could fall under securities law and continued through broad ICO information requests. Fractional NFTs put that framework into a market structure where a single token is divided among multiple buyers.

The focus on both creators and trading venues matters because it reaches beyond an issuer's initial sale. The later probe of Binance's BNB offering shows the same securities-status question being applied across major crypto markets.

  • NFT creators offering fractionalized tokens and the exchanges listing them face SEC scrutiny over whether those offerings and trades involve securities.
  • Exchanges handling fractional NFTs may need to assess listings alongside the creators whose tokens they make available.
