Sources: SoftBank is nearing a deal to sell Arm to Nvidia for more than $40B; SoftBank paid $32B for the UK chip designer in 2016

Union of Arm, Nvidia would create a powerhouse in the chip industry  —  SoftBank Group Corp. is nearing a deal to sell British chip designer Arm Holdings …

Wall Street Journal

Context & Ripple Effects

This closes a summer of sourcing: SoftBank first put Arm in play in July, when Nvidia expressed interest while Apple declined to pursue a bid after being approached, and the FT then reported cash-and-stock talks valuing Arm above SoftBank's entry price. At more than $40B, the deal would hand SoftBank a markup on the £24.3B it paid for Arm in 2016, unwinding its highest-profile bet after four years of ownership.

First-order effects

  • Nvidia would take ownership of the architecture most of the industry licenses, committing upfront — per its own framing of the deal confirmed the next day — to keeping Arm's UK HQ and open licensing model intact.
  • SoftBank exits a marquee holding at a gain over its 2016 price, converting a distressed-portfolio asset into cash during a period when it has been shedding positions.

Second-order effects

  • Arm's licensee base includes direct Nvidia competitors — Apple among them — so a neutral IP supplier falling under a rival's roof puts every future licensing negotiation under a competitor-conflict lens, making the promised neutrality pledges the deal's real test.
  • Rival chipmakers and the UK government become the pressure points: any dilution of the open licensing model or UK R&D commitments invites both customer defection from the architecture and political scrutiny of a flagship British tech asset changing hands.

Third-order effects

  • If the merger stalls on those conflicts, the fallback is the public markets — and the corpus shows exactly that arc: SoftBank later targeting $60B-plus in an IPO and even courting Nvidia itself as an anchor investor, with Arm's fate decided by valuation rather than integration.

The trend: Neutral chip-design IP is being pulled into the orbit of AI accelerator giants, with SoftBank treating Arm less as an operating holding than a marked-up asset whose exit route — merger or IPO — follows whoever pays the higher multiple.

We maintain the view that an acquisition by NVidia would be extremely damaging long-term for Arm and its partners. Big question marks on whether it would gain regulatory approval. See here https://www.ccsinsight.com/... https://twitter.com/...

SoftBank is set to sell Arm Holdings to US chip company Nvidia for >$40bn, just 4 yrs after its founder Masa Son bought the UK chip designer and said it would be the linchpin for the future of the Japanese group. Details @FT w/ @BondHack @JFK_America https://www.ft.com/...

looks like SoftBank is close to selling ARM to Nvidia for around $40 billion. Could happen as soon as next week. Gonna be huge chip news if it does https://twitter.com/...

SoftBank said it bought Arm to strategically position itself to take advantage of the booming internet of things in a 5G world. Now it's on the verge of selling before 5G has really even started. https://twitter.com/...

When Softbank bought ARM for ~$30B, Nvidia sported a ~$40B cap. Today, $NVDA has a $300B cap and is rumored to be buying ARM for what $NVDA was worth four years ago. I wonder where ARM would be today if it had stayed listed and independent? https://www.wsj.com/...

So, is that a win for SoftBank? Selling ARM for ~35% more than it paid for it, but on the other hand... The S&P 500 has climbed 50% since the purchase was signed in 2016. https://www.wsj.com/...

Nvidia-Arm deal that we've been waiting for could be announced next week. ⁦Bloomberg News⁩ reported July 31 that Nvidia was in advanced talks to buy Arm and was the only suitor for the Cambridge, England-based company. https://www.bloomberg.com/...
