Foursquare says it's merging with location data company Factual in an all-stock deal; the two companies say they brought in $150M+ in combined 2019 revenue
This merger caps a five-year reinvention for Foursquare, which pivoted from consumer social network to location-data provider and raised a $33M Series F on that thesis in 2018 — after its valuation had already slid from $650M to roughly $250M in late 2015.
Factual brings the supply side of the same market: it sells location data to Google, Facebook, and Apple, and raised $42M in 2018. Foursquare had just acquired Snap's Placed analytics unit alongside a $150M round led by Raine Group, so this all-stock merger stacks two roll-ups into one independent data shop claiming $150M+ in combined 2019 revenue.
First-order effects
The combined company becomes a single, larger independent alternative to the very platforms Factual already supplies — Google, Facebook, and Apple — which now face one consolidated vendor instead of two smaller ones bidding for their data contracts.
Because the deal is all-stock, neither side raises or spends cash; both investor bases, including Raine Group from the Placed-era round, take equity in the merged entity rather than exiting.
Second-order effects
Rival independent location-data and ad-measurement vendors face pressure to consolidate or differentiate quickly, since advertisers can now buy location data and Placed-style footfall measurement from one counterparty.
The large platform customers gain leverage: a merged Foursquare-Factual has both of its revenue streams concentrated on the same handful of buyers, weakening each company's standalone bargaining position.
Third-order effects
If the pattern holds, location data consolidates into fewer scaled independents while the biggest platforms internalize the capability, pushing mid-sized vendors toward mergers for survival rather than standalone growth.
The deal completes the sector's exit from its consumer-app era: both firms began as consumer products, and the combined entity now competes purely as B2B data infrastructure.
The trend: Independent location-data companies are consolidating through stock mergers as the largest platforms bring the capability in-house, forcing standalone vendors into scale-or-sell decisions.
Even with all the craziness, @Foursquare still making big moves. Excited to be bringing Factual under our umbrella. Great work team, and looking fwd to bringing everyone together! (ps: photo taken pre-social distancing!) https://twitter.com/...
Foursquare has one of the best data sets I've ever worked with and is an absolute dream API. Really excited to see what happens here. https://www.wsj.com/...
To all of the Adtech and Martech companies out there, this is a model for what needs to be done. Put your egos aside, force your investors to be rational, and consolidate to build 1-2 leaders in each vertical. #consolidation https://www.wsj.com/...
Collecting, visualizing and making sense of location data has never been more needed and valuable than today. Buckling up for the next phase of the @Foursquare journey! https://twitter.com/...
