Coinbase says the US SEC agreed “in principle” to drop its 2023 case against the company, calling it “righting a major wrong” and a “huge day” for crypto

- CNBC Councils  — CNBC on Peacock  — Join the CNBC Panel  — Supply Chain Values

CNBC Jesse Pound

Context & Ripple Effects

The dispute grew out of a 2023 SEC warning to Coinbase and survived an early court test, making the reported reversal more consequential than a routine procedural update. Coinbase had publicly argued that enforcement would strain the regulator’s approach to crypto oversight.

The subsequent SEC filing to dismiss the 2023 case turns the reported agreement in principle into a concrete retreat from that enforcement action. It also provides a clear endpoint to a multiyear conflict between the exchange and its principal U.S. securities regulator.

First-order effects

  • Coinbase can move toward ending a major legal overhang tied to allegations that its platform facilitated trading in unregistered securities, subject to the formal dismissal process.
  • The SEC gives up a prominent case through which it had sought to apply its securities-law theory to Coinbase’s exchange operations.

Second-order effects

  • Other crypto platforms facing similar uncertainty gain a relevant enforcement outcome to cite when assessing litigation risk and engaging with the SEC.
  • The dismissal weakens the near-term leverage that a live Coinbase case would have given the SEC in shaping industry behavior through enforcement rather than settled rules.

Third-order effects

  • If this approach extends beyond Coinbase, U.S. crypto oversight could shift from precedent-setting enforcement cases toward clearer rulemaking or narrower, fact-specific actions.
  • The episode highlights the crypto legitimacy gap: durable market confidence depends not only on whether cases are dropped, but on whether regulators establish a predictable framework afterward.

The trend: This is a data point in the shift from enforcement-led crypto oversight toward a more contested search for regulatory clarity.

And now you know why the crypto bros teamed up with Nazi's.

Great news! After years of litigation, millions of your taxpayer dollars spent, and irreparable harm done to the country, we reached an agreement with SEC staff to dismiss their litigation against Coinbase. Once approved by the Commission (which we're told to expect next week) [i…

SEC staff have agreed to dismiss their case against us (pending Commission approval). But this isn't the end. It's the beginning. And if there were ever a time to build—that time is now. Thank you to everyone who stood with us, and stood with crypto. [video]

This is a great development- kudos to Brian and team for fighting the good fight. One of the tragedies of the last administration's crypto policy is it ignored bad actors like FTX while going after good actors like Coinbase. Smart tech policy supports good actors and productive

“Regulators are supposed to enforce the law, but they can't make up new laws on the spot if they don't like the current ones, or weaponize a lack of clarity in the law.” - @brian_armstrong

The SEC needs to vacate or dismiss every order and settlement it coerced every crypto company into accepting and return 100% of the fines - except where fraud was involved. Immediately.

Speechless. Huge gratitude to all those that worked on this at Coinbase and the major industry groups. It is both a triumph for our industry and a disappointment for how much wasted time and money went towards this. We are in a new chapter of collaboration with regulators, I'm

Everyone hoped the new SEC would end its regulation by enforcement campaign against crypto, but it's still mind-blowing to see it happen like this. The agencies almost never walk away from litigation without at least extracting a face-saving settlement. This is total victory ✌️

Holy fucking shit. Brian you're a legend.

The @SECGov has agreed to drop its case against @coinbase. This is great news, but also a moment of reflection. The case was pure harassment and politics, and cost us more than $50m in litigation fees, and cost the SEC much of its reputation and untold millions of taxpayer

Congratulations to @iampaulgrewal and the rest of the Coinbase legal team. CB is one of the only players in the industry who could adequately fight this fight, unlike many of the less well-resourced projects forced to settle with Gary's SEC over the past 4 years and close their
