Investors led by Elon Musk make an unsolicited $97.4B bid to buy the nonprofit that controls OpenAI, complicating Sam Altman's plans to convert to a for-profit

Unsolicited offer complicates Sam Altman's plans to convert OpenAI to a for-profit company — A consortium of investors led …

Elon just made an unsolicited $97.4B bid to acquire OpenAI.  The offer has been submitted to their board of directors.  —  Altman tweeted the following response “no thank you but we will buy twitter for $9.74 billion if you want,”  —  The drama never ends in the AI industry.

Weird.  If Musk bought OpenAI a lot of the assets would walk out the door.  Obv he wants to bid it up so the non-profit's board can't accept a lowball offer for the stake in the for-profit, limiting the for-profit's ability to raise money.

This is the obvious next step.  If you've got control of all the regulatory agencies, why maintain the fiction of preventing conflicts of interest?  Everything is smash and grab now [embedded post]

Oh hell yeah.  HELL yeah, this is chaos shit.  I bet Microsoft pushes them to do it too.  Gets them out from under the investment.  Either way this would effectively shut down OpenAI.  Hail the apocalypse [embedded post]

Having talked to a lot of folks close to this on all sides, ignore all the performative bromindes about safety or even open source, what Musk wants is to turn back time and to get a stake in the new entity.  He once said he invested $100 million, then halved that to $50 million a…

My understanding is that @elonmusk is not trying to buy the OpenAI nonprofit, per se, but rather the underlying for-profit assets that @sama must buy in order to reorg the company.  So it's partially a troll, and partially setting a price that may cause Sam to pay more than he mi…

Elon's offer to purchase the OpenAI nonprofit for $97.4billion isn't going to happen, but it may seriously complicate OpenAI's efforts to claim the nonprofit is fairly valued at $40billion. If you won't sell it for $97.4billion, that means you think it's worth more than that.
  • @eringriffith Erin Griffith on x
It's easy for Altman to immediately blow off Musk's takeover offer for OpenAI because private companies don't have the same fiduciary duties that public ones to do take offers to shareholders. But also because its a lowball offer. OpenAI was last valued at $157bn and about to

OpenAI is converting to a for-profit that isn't controlled by the nonprofit. At conversion, the nonprofit gets a 25% stake in OpenAI in exchange for giving up control. At $260B val of OAI, the nonprofit is worth $65B. They have to sell it at FMV, which is now complicated.

It sounds like Elon tried out Deep Research and realized OpenAI is a full generation ahead
  • @danprimack Dan Primack on x
It's true that the last time @elonmusk bid on a co. he ended up with it, despite trying to bail. And both are chaired by the exact same guy (@btaylor). But a big diff, as @inafried points out: OpenAI board doesn't have fiduciary duty like Twitter's did. It's mission-driven.

So my very basic read is Elon's offer isn't serious (or at least, he doesn't actually think they'll accept), it just forces OpenAI to adjust the “fair market value” much higher as they try to purchase it out of the nonprofit. Kinda savage.

I am pretty sure Altman does not get to unilaterally decide whether to accept or reject a takeover offer for OpenAI's non-profit — surely that's a consideration for the board? Or is this an admission that the board is toothless?
