A US judge orders Ripple to pay a $125M penalty for selling XRP to institutional investors, well below the almost $2B the SEC sought in the case; XRP jumps 20%+
- Regulator had sought almost $2 billion in fines, penalties — Ripple token XRP surges on court ruling but is flat this year
Bloomberg Chris Dolmetsch
Context & Ripple Effects
The penalty phase followed a 2023 ruling that drew a line between Ripple's institutional XRP sales and exchange-based sales. The SEC later sought more than $2 billion in monetary remedies, making the court's eventual penalty decision the central remaining financial issue in the case.
The ruling matters because it preserves liability for sales to sophisticated investors while sharply limiting the remedy relative to the SEC's multibillion-dollar penalty request. That split helps explain why the market treated the decision as favorable despite the fine.
First-order effects
- Ripple must pay a $125M penalty tied to institutional XRP sales, rather than the nearly $2B remedy the SEC requested.
- XRP rose more than 20% after the decision, reflecting an immediate reduction in the case's perceived financial overhang for Ripple and the token.
Second-order effects
- The large gap between the SEC's request and the award gives crypto defendants a concrete example that remedies can turn on the specific sales channel and purchaser type, not just the token involved.
- The SEC faces a weaker immediate deterrent outcome in this case, while institutional counterparties must still account for the court's finding that Ripple's institutional sales violated securities law.
Third-order effects
- If courts continue distinguishing institutional token distributions from exchange trading, crypto compliance may increasingly be organized around how and to whom tokens are sold rather than a single classification for every transaction.
- The case points to enforcement outcomes being shaped as much by remedy and sales-structure disputes as by headline questions of whether a token is a security.
The trend: Crypto securities litigation is moving toward transaction-specific rulings that separate institutional fundraising from broader market trading.

The SEC asked for $2B, and the Court reduced their demand by ~94% recognizing that they had overplayed their hand. We respect the Court's decision and have clarity to continue growing our company. This is a victory for Ripple, the industry and the rule of law. The SEC's

I see lots of questions re what the injunction means for ODL sales. I don't see it changing the status quo AT ALL, for the following reasons: 1. As Ripple has stated, the majority of its XRP and ODL sales are outside the U.S. jurisdiction and not subject to the ruling. Those [ima…

A final judgment. The Court rejects the SEC's suggestion that Ripple acted recklessly and she reminds the SEC that this case did not involve any allegations of fraud or intentional wrongdoing, and no one suffered any financial harm. She rejects the SEC's absurd demand for $2B in

🚨BREAKING: Judge Torres has ruled that @Ripple shall pay $125M in civil penalties and stop any further violations of securities laws, putting an end to the nearly four-year legal battle it fought with the @SECGov. The SEC had initially requested a penalty of $2B from Ripple.

Overall, HUGE win for @Ripple. Although I'm surprised at the $125M hit, Ripple more than made that just on the price move in $XRP in the last 5 minutes. Here are the major takeaways from the ruling:

I admit, I thought Ripple would lose this one big. Surprised they didn't. Well done to Ripple Labs and their counsel. Guessing the SEC will appeal. If Trump wins, this settles.

given how aggro Ripple was in pumping XRP re: Ripple biz model, XRP not being a security *and* XRP trxs generally not being securities trxs means the SEC has lost the game corrolary: we don't need FIT21 and it does more harm than good; courts solved (most of) the problem

really can't think of a worse case for the SEC to lose (from the SEC's POV) than Ripple...they did *everything wrong*...tying their business to token price, hiring market-makers to massage the price etc. . . you can literally look on old charts and see how Ripple corp

“We respect the $125M fine the Court has imposed for certain historic sales to sophisticated third parties.” Translation: What happened in the past was ruled by the Court to be illegal. We are immensely confident our current business operation is not impacted by the injunction.

I'm sure the SEC will refer to this as a win for getting a $125 million penalty. But that's really a win for Ripple as far as i'm concerned. And an L for the SEC's “regulation via enforcement” stance
