SEC objects to Coinbase's proposed involvement in Celsius' plan to emerge from bankruptcy, saying the plans “go far beyond the services of a distribution agent”

- Regulator objects to Coinbase distribution agreements  — Coinbase, Celsius each face separate lawsuits from the SEC

Bloomberg

Context & Ripple Effects

The SEC’s objection extends its conflict with Coinbase beyond the exchange’s core business. It follows the agency’s June lawsuit alleging Coinbase operated as an unregistered broker and Coinbase’s subsequent attempt to have that case dismissed on authority grounds.

The dispute matters because it tests whether an exchange can occupy a broader role in a failed crypto platform’s restructuring while its own regulatory status is contested.

First-order effects

  • Coinbase’s proposed role in Celsius’s emergence plan is immediately subject to SEC challenge, with the regulator arguing that the contemplated activities exceed a distribution-agent function.
  • Celsius must address the objection in its bankruptcy process, adding regulatory scrutiny to the mechanism proposed for carrying out distributions.

Second-order effects

  • Crypto firms considering exchanges as restructuring or distribution partners may need to narrow those partners’ mandates or prepare for greater regulatory review.
  • The objection gives the SEC another venue to press its view that activities surrounding crypto assets can carry obligations beyond the labels firms assign to them.

Third-order effects

  • If regulators continue to contest exchanges’ roles across trading, staking, and bankruptcy workflows, crypto infrastructure providers may face a more fragmented set of permitted functions rather than a single exchange-centered model.
  • The case is another test of the regulatory-model risks Coinbase raised after its Wells notice: enforcement disputes could shape operational boundaries before a settled regulatory framework does.

The trend: Crypto regulation is increasingly being fought over through the practical roles platforms play in market infrastructure, not just through their trading services.

Coinbase is proud to engage with Celsius to distribute crypto back to its customers. I wonder, why would the SEC object to a trusted US public company taking on this role? We look forward to addressing this with the bankruptcy court and undertaking our important role to make...

The SEC objection re: Celsius is only with respect to brokerage and trading services. The spot ETFs will not directly utilize those services, so I fail to see the inference here. The only connection Coinbase will have with the ETFs is to act as custodian and to execute a SSA.

The SEC won't allow Celsius losers get their money back via Coinbase, because coinbase is operating illegally. b.....b...but... they are gonna approve a SPOT BTC ETF that uses Coinbase? nah. DENIED

@iampaulgrewal It's simple. Coinbase's role in the Celsius bankruptcy makes Coinbase look like a trusted good actor. The SEC wants Coinbase to look like and untrustworthy bad actor.

Remember folks Scumbag regulator @GaryGensler did nothing to stop Celsius, FTX etc. Now he is trying to block Coinbase, a trusted exchange, from helping to make Celsius users whole. Wouldn't surprise me if Gary wants BlackRock or some other WallStreet giant to handle this deal...…
