Sources: Nscale faces investor pushback over its ~$30B IPO valuation, with some urging a lower $16B-to-$19B valuation, as Microsoft exits a UK data center deal

Nscale Ltd. is facing opposition to the valuation target it's pursuing in its initial public offering, according to people familiar …

Bloomberg Bailey Lipschultz

Context & Ripple Effects

Nscale’s proposed US listing had been framed around rapid growth: it told prospective backers it had exceeded $100 million in second-quarter revenue and held roughly $51 billion in contracts, after seeking to raise up to $3 billion in an IPO. Its September $3.36 billion convertible financing also supplied capital ahead of that listing.

The valuation debate follows reported project delays and potential customer penalties ahead of an IPO once discussed at up to $35 billion. A reported Microsoft withdrawal from the UK data-center arrangement makes investors’ focus on execution risk, rather than contracted demand alone, more consequential.

First-order effects

  • Nscale faces pressure to price its IPO nearer the $16 billion-to-$19 billion range cited by some investors rather than its roughly $30 billion target, reducing the valuation cushion available to existing holders and prospective financing.
  • Microsoft’s reported exit from the UK data-center deal removes a prospective anchor-tenant relationship from Nscale’s IPO narrative, while the company must address the report alongside its broader contract pipeline.

Second-order effects

  • IPO investors are likely to place greater weight on project delivery, customer commitments and penalty exposure when assessing Nscale’s contracted-revenue claims, rather than using headline contract value as a standalone valuation proxy.
  • Nscale’s backers and convertible-financing stakeholders gain a sharper public-market benchmark for a business that had raised capital before its planned listing, increasing the importance of IPO terms and investor demand.

Third-order effects

  • If investors apply similar scrutiny across AI infrastructure listings, the gap between private funding valuations and public-market prices will widen for companies whose expansion depends on data-center buildouts and concentrated customers.
  • The episode points toward compute finance being priced around demonstrable deployment and durable tenant commitments, not just the scale of announced AI contracts.

The trend: AI infrastructure companies are moving into a public-market capital cycle in which execution evidence and customer durability increasingly set the terms of valuation.

More bad news for Neoclouds $NCLD. It should be a stark reminder of how easily these contracts can be terminated. 85% of Nscale contracts depend on Microsoft and Anthropic and it was trying to raise $3 billion from IPO. https://www.bloomberg.com/... [image]

Did Nscale's IPO pitch just lose its biggest name and its power?  Microsoft was the anchor tenant for Nscale's first UK data center.

So frustrating - because we can't do the basics in the UK (generate reliable power, connect sites to the grid) we're losing out on billions of investment. Until we get this right all other ideas about how to boost our AI economy are a massive waste of time.

Billions of pounds lost on a single project because we can't connect it to the grid for half a decade and have destroyed our capacity to generate reliable electricity.

Many people believe the AI bubble popping means Anthropic or OpenAI failing.  I believe the more likely bloodbath will be in the frenzy around data center construction.
