Thoma Bravo-backed Proofpoint Inc. is in talks to acquire cybersecurity company Varonis Systems Inc., according to people familiar with the matter.

Varonis had already disclosed through reporting that it was exploring a potential sale after takeover interest in June. The reported Proofpoint talks therefore move an existing strategic-review narrative toward a named buyer, while the 10.4% share gain puts Varonis at roughly $5.4 billion in market value.

Thoma Bravo has owned Proofpoint since its $12.3 billion cash acquisition in 2021, and Proofpoint previously pursued security expansion through its $225 million ObserveIT purchase. Varonis also agreed to buy AllTrue in February, adding AI trust, risk and security-management tooling to its own portfolio.
