Sources: GameStop is preparing to make an offer for eBay after quietly building a stake; GameStop had a market cap of ~$11B as of May 1, while eBay had ~$45B

Retailer's CEO Ryan Cohen has been eyeing a major deal, in part to clinch a huge payday  —  GameStop is preparing to make an offer for eBay

Wall Street Journal Lauren Thomas

Context & Ripple Effects

GameStop's planned approach follows its quiet accumulation of an eBay stake, turning a major-deal ambition by CEO Ryan Cohen into a concrete takeover attempt. The size gap between the two companies is central to the story: the related coverage subsequently questions GameStop's ability to finance the transaction.

The coverage arc shows an unsolicited $56B proposal, eBay's rejection, and GameStop later increasing its disclosed holding to 9.8% while signaling it would continue to pursue a bid. That makes the initial stake-building meaningful not only as acquisition preparation, but as leverage in a contested corporate campaign.

First-order effects

  • GameStop becomes an activist bidder in eBay, exposing both companies to immediate deal uncertainty and scrutiny of GameStop's financing capacity.
  • eBay's board must evaluate and respond to a prospective offer while GameStop's stake gives it a direct financial interest in eBay's share price and strategic direction.

Second-order effects

  • The proposed premium can reset investor expectations for eBay even if a transaction is not completed; related coverage shows its shares rose but remained below the indicated offer price, reflecting perceived execution hurdles.
  • A rejected bid followed by a larger disclosed stake shifts the contest toward shareholder influence and board pressure, rather than a straightforward negotiated acquisition.

Third-order effects

  • If buyers increasingly use minority stakes to underpin unsolicited bids, takeover campaigns may become more prolonged contests over financing credibility, shareholder support, and board control.
  • The episode illustrates the limits of acquisition-led expansion when an acquirer's scale and funding resources trail those of its target: strategic intent alone may not be sufficient to close a deal.

The trend: This is one data point in acquisition-led expansion shifting from negotiated consolidation toward activist-style campaigns backed by strategic minority stakes.

GameStop will now own eBay all because some guy called Roaring Kitty posted about the stock on Wall Street Bets in 2020

They said GameStop was done. They shorted it into the ground. Then GameStop acquired eBay. The most shorted stock on earth just turned into a loaded gun. The shorts haven't figured out what just happened yet. 2021 was a glitch. This is the sequel nobody saw coming. [video]

I will fight this with every fiber of my being. eBay is a staple of the secondhand market. Gamestop paid staff to break PS2 games in half and throw them away to artificially inflate the value of used games. We cannot let @gamestop ruin eBay. This is a threat to every hobby.

If GameStop acquires eBay do they just sell the $1000 in games they bought from you for 30 cents in store credit on eBay directly or do they make you watch while they laugh at what you gave up? [image]
