SpaceX says it's working with Cursor to build “the world's most useful models” and it has the right to acquire Cursor for $60B or pay $10B for the partnership
The potential acquisition comes as Elon Musk's rocket and satellite maker, which has been emphasizing artificial intelligence, is preparing to go public.
New York Times
Context & Ripple Effects
This partnership is structured as a bridge between collaboration and ownership: related coverage says an immediate acquisition was avoided because it could delay SpaceX’s IPO, while Cursor stopped pursuing a reported funding round.
The later coverage traces that bridge to an agreed all-stock acquisition at the same $60B valuation, making the initial option-and-fee structure consequential rather than a routine commercial AI partnership.
First-order effects
SpaceX and Cursor begin joint model development while SpaceX secures a predefined route to ownership or a paid exit from the partnership.
Cursor gains a strategic backer and loses the need to continue its reported standalone funding process; SpaceX preserves IPO flexibility in the near term.
Second-order effects
The arrangement gives SpaceX a way to add AI-model and coding-product capability without completing a transaction before its public-market plans, raising the competitive value of similarly positioned AI startups.
A large termination payment makes the partnership economically binding for both sides, limiting Cursor’s practical freedom to pursue alternative strategic paths even before a formal acquisition.
Third-order effects
If replicated, option-backed partnerships could become a more common route for capital-rich infrastructure companies to secure AI capabilities while deferring the timing and scrutiny of full acquisitions.
The pattern would further concentrate frontier-model development around companies that combine distribution, compute capacity, and transaction currency, rather than around independent application startups alone.
The trend:AI infrastructure companies are increasingly using strategic partnerships with embedded acquisition rights to control scarce model talent and products without immediately consummating a takeover.
SpaceXAI and @cursor_ai are now working closely together to create the world's best coding and knowledge work AI. The combination of Cursor's leading product and distribution to expert software engineers with SpaceX's million H100 equivalent Colossus training supercomputer will
“Cursor has given SpaceX the right to acquire Cursor later this year for $60B or pay $10B for our work together.” Makes so much sense. xAI hired two Cursor co-founders and needs a product to utilize Colossus, world's largest data centre (equivalent 1 million H100 chips). [image]
It'll be interesting to see whether Anthropic and OpenAI cut Cursor's access to their models. They almost certainly have a change of control clause. Likely reason why this deal is structured in this way.
XAI and Cursor merger has been a rumor for months. I last wrote about the two companies deepening relationship and attempted partnership in September -> https://www.theinformation.com/ ...
“Cursor has also given SpaceX [xAI] the right to acquire Cursor later this year for $60 billion or pay $10 billion for our work together” as expected. without coding data you are cooked.
Wow. SpaceX/xAI to potentially buy Cursor this year for 60 billion $ This makes SO much sense xAI has been behind on coding products for years now Cursor has a great coding product, but will fail unless they build their own model xAI gets an incredible coding product. Cursor
